Terms of Service

1. Acceptance of Terms

By accessing or using ShipClaw ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We reserve the right to modify these terms at any time without prior notice. Continued use after changes constitutes acceptance.

2. Description of Service

ShipClaw is a platform that enables users to deploy and manage AI agents. The Service may include managed AI API access, credit-based billing, Bring Your Own Key (BYOK) options, and related tools. Features may change, be modified, or be discontinued at any time without notice.

3. Eligibility

You must be at least 18 years old to use ShipClaw. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these terms.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use. We are not liable for any loss resulting from unauthorized access to your account.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Generate, distribute, or facilitate harmful, abusive, hateful, fraudulent, or deceptive content through AI agents.
  • Attempt to reverse-engineer, exploit, or interfere with the Service's infrastructure.
  • Use the Service to spam, phish, or conduct any form of automated abuse.
  • Circumvent usage limits, billing mechanisms, or rate limiting.
  • Resell, sublicense, or redistribute access to the Service without written permission.
  • Use the Service in any way that violates the acceptable use policies of underlying AI providers (e.g., Anthropic).

We reserve the right to suspend or terminate your account immediately and without notice for any violation of these terms.

6. Credits, Payments, and Billing

  • Credits are purchased in advance and consumed as you use the Service. Credits are non-refundable and non-transferable.
  • Subscription fees (if applicable) are billed in advance and are non-refundable. Cancellation stops future billing but does not entitle you to a refund for the current period.
  • We reserve the right to change pricing at any time. Price changes for subscriptions take effect at the next billing cycle.
  • Unused credits may expire. We will make reasonable efforts to notify you before expiration, but are not obligated to do so.
  • All payments are processed by Stripe. By making a purchase, you also agree to Stripe's terms of service.

7. API Keys and BYOK

If you provide your own API keys, you are solely responsible for any charges incurred with the underlying AI provider. We are not responsible for any costs, data exposure, or consequences resulting from the use of your API keys through the Service. You represent that you have the right to use any API keys you provide.

8. AI-Generated Content

The Service facilitates interaction with third-party AI models. You acknowledge that:

  • AI outputs may be inaccurate, incomplete, biased, or inappropriate. You are solely responsible for reviewing and using any AI-generated content.
  • We make no representations or warranties regarding the accuracy, reliability, or suitability of AI outputs.
  • You are fully responsible for any actions taken based on AI-generated content and for any content you publish or distribute that was generated through the Service.
  • We are not liable for any damages, losses, or consequences arising from AI-generated content.

9. Intellectual Property

The ShipClaw platform, including its design, code, branding, and documentation, is our intellectual property. You retain ownership of content you create, but grant us a worldwide, royalty-free license to use, store, and process it as necessary to provide the Service. We may also use anonymized and aggregated usage data for analytics and improvement purposes.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, ShipClaw and its owners, operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless ShipClaw and its owners, operators, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) content generated by or through your account; (d) your violation of any third-party rights; or (e) your use of API keys provided through BYOK.

13. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Service at any time without notice or liability. We are not obligated to maintain, support, or update the Service. Scheduled or unscheduled downtime does not entitle you to any refund or compensation.

14. Termination

We may suspend or terminate your access at any time, for any reason, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Any remaining credits are forfeited. Sections that by their nature should survive termination (including limitation of liability, indemnification, and disclaimers) will survive.

15. Governing Law and Disputes

These terms are governed by the laws of the jurisdiction in which ShipClaw operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ShipClaw regarding your use of the Service.
